General Purchase Terms

Understanding

 

Unless otherwise stated by Next Space LLC or NextSpace Furniture CO. L.L.C (“NextSpace”), any proposal and/or any resulting contract between NextSpace and a customer of NextSpace (“Buyer”) will be subject to the following terms and conditions. These terms and conditions represent the complete agreement between the parties. Any terms or conditions modifying or conflicting with these provisions shall not be binding upon NextSpace or the manufacturer of the product line (“Manufacturer”) unless expressly agreed in writing and signed by authorized representatives of NextSpace and the Manufacturer. Buyer’s acceptance of a purchase order, shipping request, or similar form constitutes agreement to these terms.

 

Order Subject to Acceptance

 

Acceptance of orders is contingent upon Buyer’s agreement to all terms herein. Orders are subject to Manufacturer’s acceptance and confirmation, which will be issued via a Price Quotation/Order Confirmation. It is the responsibility of the Buyer to review this confirmation and notify NextSpace immediately of any discrepancies. NextSpace reserves the right to revoke an Order Confirmation due to product discontinuation, unavailability, or errors in pricing/specification. In such cases, deposits for unavailable products will be refunded. Orders based on incorrect pricing/specifications are not binding and may be rejected.

 

Quotations

 

Quotations are valid for 30 days unless extended in writing. NextSpace reserves the right to amend prices, dimensions, or specifications prior to confirmation.

 

Prices

 

All prices are EXW point of manufacture unless agreed otherwise. For imported items, terms are DDP unless explicitly agreed otherwise. Prices exclude shipping, taxes, duties, storage, and other related charges unless otherwise stated. Any currency exchange or bank charges are the responsibility of the Buyer, including any shortfalls arising from discrepancies in transfer amounts or exchange rates. Such discrepancies must be settled within five (5) business days.

 

Taxes

 

The Buyer is responsible for all applicable taxes, duties, or other charges imposed by any government authority.

 

Payment Terms

 

A 50% deposit is required to confirm an order, with the remaining balance payable before shipment. Orders for in-stock items require full payment upfront. Late payments are subject to a service charge of 1.5% per month or the maximum permissible rate. All associated shipping, storage, and handling charges must also be settled before release for shipment.

 

Cancellation of Order

 

Orders are non-cancelable after three (3) business days. Deposits paid are non-refundable after this period. Notice of cancellation must be received in writing and acknowledged by NextSpace within the allowable time frame.

 

Changes to Order

 

Changes require written approval from both NextSpace and the Manufacturer. Changes may be subject to additional fees of up to 50% of the list price. Orders with Customer’s Own Material (COM) or Leather (COL) are non-returnable once production has started.

 

Delivery Dates

 

All delivery dates are estimates. NextSpace and Manufacturer are not liable for delays beyond their reasonable control.

 

Force Majeure

 

NextSpace and Manufacturer are not responsible for delays caused by unforeseen events, including but not limited to natural disasters, labor shortages, or government actions.

 

Storage Charges

 

Goods must be collected within seven (7) business days of availability notification. Failure to do so will result in storage charges, which will accrue daily until goods are collected or delivered. Goods in storage remain the responsibility of the Buyer, including costs and risks associated with them.

 

Title/Risk of Loss

 

Title and risk transfer to Buyer upon delivery to the carrier. Any claims for damage or shortages must be made in writing within 24 hours of receipt.

 

Method of Shipment

 

Manufacturer determines shipment methods unless otherwise agreed. Goods returned due to Buyer’s refusal to accept delivery will incur additional shipping and storage charges.

 

Partial Deliveries

 

Partial shipments will be invoiced as though the order were complete.

 

Warranty and Disclaimer

 

Manufacturer warranties apply; no warranty covers damage from misuse or normal wear. Goods deemed defective will be replaced within the normal production timeline.

 

Limitations of Liability

 

NextSpace and Manufacturer’s liability is limited to the purchase price of goods and services. Neither party shall be liable for consequential damages.

 

Remedies Upon Default

 

NextSpace reserves the right to cancel orders, retain deposits, or recover goods and expenses in the event of Buyer’s default.

 

Governing Law

 

This agreement is governed by the laws of Dubai, United Arab Emirates.
